Terms of Service

1. Our Services & Global Scope

Supplier Linkup provides a platform for Buyers to send inquiries and Factories/Suppliers to submit business profiles. We act as a facilitator and information directory. While the Services are accessible globally, we operate from China and do not guarantee the Services are appropriate for use in all jurisdictions. Users are responsible for compliance with their local laws.

2. Intellectual Property Rights

The platform, including its source code, databases, functionality, software, website designs, text, and graphics on the Services (collectively, the "Content") and the trademarks and logos contained therein (the "Marks") are owned or controlled by us. You are granted a limited license for internal business purposes. You may not copy, aggregate, or distribute any part of the Services for commercial exploitation without our express prior written permission.

3. User Representations

By using the Services, you represent and warrant that: (1) all registration and profile information you submit is true, accurate, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity to comply with these terms; (4) you are at least 18 years of age; and (5) your use of the Services will not violate any applicable law or regulation.

4. User Registration & Security

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account. We reserve the right to remove or change a username if we determine, in our sole discretion, that such username is inappropriate or objectionable.

5. Purchases, Payments, and Currency

We accept international payments including Visa, Mastercard, Discover, American Express, and PayPal. By default, all transactions and quotes are processed in US Dollars ($) to facilitate international transactions. However, we also maintain local bank accounts in China capable of accepting RMB (¥) and British Pounds (£). If you wish to pay in a currency other than US Dollars, you must contact us to request specific bank account details for that currency before initiating payment. You agree to provide current, complete, and accurate purchase and account information.

6. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user, you agree not to:

• Systematically retrieve data or other content from the Services to create or compile a database or directory without written permission from us.
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information.
• Circumvent, disable, or otherwise interfere with security-related features of the Services.
• Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services.
• Use any information obtained from the Services in order to harass, abuse, or harm another person or company.
• Upload or transmit viruses, Trojan horses, or other material that interferes with any party’s uninterrupted use of the Services.
• Engage in unauthorized framing of or linking to the Services.
• Use the Services as part of any effort to compete with us or for any revenue-generating endeavor not explicitly authorized.

7. User Generated Contributions (Inquiries & Profiles)

The Services invite you to submit inquiry forms, factory profiles, and business information ("Contributions"). You understand that business profiles may be viewable by other users. When you create or make available any Contributions, you represent that:

• The creation and distribution of your Contributions do not infringe the proprietary rights of any third party.
• Your Contributions are not false, inaccurate, or misleading.
• Your Contributions are not unsolicited or unauthorized advertising, pyramid schemes, or "spam."

By posting Contributions, you grant us an unrestricted, irrevocable, perpetual, worldwide right and license to host, use, copy, and distribute such content for any commercial purpose (including promoting the platform).

8. Third-party Websites and Content

The Services may contain links to other websites belonging to third parties. Such third-party websites are not investigated or monitored by us. We are not responsible for any purchases or interactions you make through third-party websites.

9. Services Management

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who violates the law or these terms; and (3) otherwise manage the Services in a manner designed to protect our rights and property.

10. Privacy Policy & Global Data Transfer

Our data may be processed on global servers (including Hostinger’s network) to ensure speed and reliability for our international audience. By using the Services, you consent to your data being transferred and processed globally.

11. Term and Termination

These Legal Terms shall remain in full force and effect while you use the Services. We reserve the right to deny access to and use of the Services (including blocking IP addresses) to any person for any reason or no reason, without notice or liability.

12. Governing Law and Dispute Resolution

These Legal Terms shall be governed by and interpreted following the laws of the People's Republic of China. Any dispute arising out of or in connection with these terms shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for binding arbitration. The seat of arbitration shall be Changsha, China. The proceedings shall be conducted in a bilingual format (Chinese and your preferred or native language) to ensure full transparency and understanding for our international users.

13. Disclaimer & Limitations of Liability

The services are provided on an "as-is" and "as-available" basis. You agree that your use of the services will be at your sole risk. In no event will we be liable to you for any direct, indirect, or consequential damages. Our liability to you for any cause whatsoever will at all times be limited to the amount paid, if any, by you to us during the twelve (12) month period prior to the cause of action.
